Corporate and company law
Hoens & Souren Keereweer Advocaten provides legal advice to clients in the way which best matches the client's enterprise, varying from wait-and-see to proactive, depending on the situation, but always conscious of the costs, from problems with debt collection to take-overs.
Our expertise includes:
the incorporation of legal persons and capital protection (full payment on shares, Nachgründung, financing from group companies), take-overs (both share and asset transactions), decision-making process within and representation of legal persons, depository receipts for shares, shareholders' agreements and voting agreements, corporate contracts, annual accounts law, conflict of interest, all kinds of disputes within partnerships and legal persons, including proceedings before the Court Enterprise Division, and organisation law, corporate law and participation law.
Furthermore all sorts of liability issues, such as liability of directors, actual managers, supervising directors (and shareholders), banks, insurers, liability for ancillary persons and product liability.
Employment law
We have a vast employment law practice. We address ourselves to employers and employees alike and we use a practical approach which brings employment conflicts to a good ending quickly and energetically.
Our services should, however, be sought especially when an employment conflict risks erupting or is smouldering because it is precisely precisely at an early stage that such disputes are still relatively easy to solve.
In addition to employment conflicts and redundancy schemes, we are also active in the field of consultancy about specific employment agreements, flexible employment relationships, such as secondment and assignment, employment conditions, accidents at work, international and European employment law, collective employment agreements law, codetermination law, social security law (especially for employers) and special stipulations such as the noncompetition clause.
In pension matters we will be glad to introduce you to specialists in that field with whom we have good experience.
Public civil servants law
We will be glad to be of service in conflict situations or when you have any questions about your legal position. We advise (semi-)government agencies as well as public civil servants.
Insolvency law
Nearly all of our lawyers are widely experienced as receivers in bankruptcies and as administrators in cases of suspension of payment.
Because of this vast expertise in the field of insolvencies, we are also able to advise when bankruptcies risk occurring, the so-called 'five to twelve situations'. In this regard one may think of restructuring operations and restarts, but also of the question of what entrepreneurs, directors, parent companies and third parties still are and are not allowed or able to do. At that stage we also advise about the prevention of directors' and officers' liability.
In bankruptcy situations we can advise and litigate about disputes with the receiver and the directors' and operators' liability, among other subjects.
Three partners of our office are members of the association of insolvency law lawyers (INSOLAD). For more information about INSOLAD, please click here.
Banking law, financing and securities
This area of law concerns especially the relationship between the financier, often a bank, and an entrepreneur. We advise about the relationship between those parties, on the basis of the financing agreement, as well as the general terms of the bank, securities such as pledge, mortgage and suretyships, several liability, recourse, (bank) guarantees, subordinated loans, setting-off issues, bank's liability, factoring and lease contracts in various forms.
Our lawyers handle debt collections for you quickly and efficiently, both in individual cases and in 'bulk'. In these cases our rates are negotiable per case handled (and therefore not on an hourly basis).
Our office advises and litigates also in fields with which ICT companies can be confronted, such as flexible employment relationships (secondment, etc.), specific general terms and copyright disputes.
All sorts of civil law subjects can be united under this heading. An important part consists of drafting and assessing agreements, both general terms and specific agreements, such as purchase agreements and the agreements which have been mentioned already under the other fields of expertise of our office.
Intellectual property
We can assist you in conflicts in the field of trademark, design and plant breeder's rights.
If you wish to stay abreast of current developments, you must take all these aspects into account, in order to protect your company name, your domain name or your product against abuse or theft. You therefore need to have thorough advice in advance.
Immovable property
Our office will be glad to assist you with the realisation of immovable property projects and when disputes relating to them should arise, before the ordinary judge as well as in arbitration cases.
In the field of construction law we have ample experience with tendering processes, arbitration and contracting of work.
In the field of immovable property law we can assist you with the purchase and sale of immovable properties. In addition, we handle cases in the field of landlord and tenant law, in particular with regard to business premises.
Furthermore we can answer your questions in the field of ownership relationships, neighbours' statutory rights and obligations, easements, perpetual ground lease, apartment rights and the like.
Divorces, contact rules and maintenance allowances
In our office a vast amount of experience is available in the field of family law. Family law includes, among other subjects, divorces, contact rules, maintenance allowances, parental authority, recognition of children, adoptions, estate divisions, termination of cohabitation relationships, guardianship, etc.
In matters of family law our office often uses the instrument of mediation. See also under the heading “mediation”. In these kinds of cases we obviously have an open mind with respect to the emotions which often play an important role.
Mediation is the solving of conflicts by means of an impartial mediator. The mediator does not decide, he assists the parties with their negotiations. He helps them find a good solution to their conflict. He sees to it that the process evolves in a fair way. Thus he has to prevent, for example, one of the parties being put under pressure by the other party, etc.
Mediation is often about parties who have a business or family law relationship with one another and who realise that it is important for them that this relationship remains intact or that it is implemented differently in a proper way. One may think, for example, of spouses who are going to get divorced, or of business which provide services to one another.

In our office a vast amount of specialist knowledge and experience is available in the field of personal injury. This concerns not only losses caused by injuries sustained in traffic accidents or professional faults made by, for example, hospitals, physicians, lawyers or civil-law notaries, as well as injuries which occurred at work or when practising a sport.
Jaap Keereweer is a member of the LSA, the association of specialist personal injury lawyers. Only lawyers who have successfully completed a postdoctoral course at the Grotius Academy and since then have met the permanent education requirements of the LSA, can be full members of the LSA.
In addition, Jaap Keereweer is also a member of the ASP. The ASP is the only Dutch Association of Lawyers for Victims of Personal Injury. The membership consists exclusively of experienced personal injury lawyers who act exclusively on behalf of victims in personal injury cases. In this way you, as a victim, can rest assured that your personal injury lawyer does not (want to) maintain any relationship with any insurance company. Insurance companies are usually (one of) the opposing parties of victims of, for example, traffic accidents or industrial accidents, or other personal injuries where a hospital, a physician, a lawyer, a civil-law notary or another business or institution is the opposing partner of the victim.
We advise medical specialists in conflicts with hospitals and we are familiar with medical disciplinary law.
We will often be able to assist you in a number of other areas of law which have not been mentioned above.
One might think of all forms of procedural law, including appeals in cassation in insolvency actions, franchise relationships, distribution agreements, pledge law, administrative law (including planning law and neighbours' statutory rights and obligations). You may always make inquiries about whether we can be of service without any obligation on your part. If insufficient knowledge is available in our office, we will be glad to refer you to specialist colleagues.
We do not handle cases in the field of
aliens' law and appeals in cassation other than in the field of insolvency law.
